AceVector IPO to Open on September 25 at ₹30–₹32

AceVector Limited has announced that its initial public offering (IPO) will open for subscription on Friday, September 25, 2026, and close on Tuesday, September 29, 2026. The Anchor Investor bidding period will open and close on Thursday, September 24, 2026.

The company has fixed the IPO price band at ₹30 to ₹32 per equity share, with each share having a face value of ₹1. Bids can be made for a minimum of 468 equity shares and in multiples of 468 shares thereafter.

The equity shares proposed to be issued through the offer are proposed to be listed on BSE Limited and National Stock Exchange of India Limited (NSE), with NSE serving as the designated stock exchange.

Fresh issue and offer for sale

The IPO comprises a fresh issue of equity shares aggregating up to ₹2,870 million and an offer for sale (OFS) of up to 41,562,500 equity shares by certain existing shareholders.

The company has stated that the net proceeds from the fresh issue are proposed to be used for:

  • Funding a portion of the marketing and business promotion expenses of its Marketplace business
  • Funding technology infrastructure costs of the Marketplace business
  • Funding inorganic growth through acquisitions
  • General corporate purposes

Existing shareholders participating in the OFS

The offer for sale includes up to 27,607,082 equity shares from Starfish I Pte. Ltd., the promoter selling shareholder.

The investor selling shareholders include Nexus India Direct Investments II, FIH Business Global Pte. Ltd. (formerly known as Wonderful Star Pte. Ltd.), Nexus Opportunity Fund Ltd, Nexus Ventures III, Ltd., Rupen Investment and Industries Private Limited, and Centaurus Trading and Investments Private Limited.

The individual selling shareholders include Kenneth Stuart Glass, Jason Ashok Kothari, Laurent Bernard Amouyal, Misha Kohli, Radhika Gupta and Nalin Luis Moniz.

IPO allocation structure

Under the book-building process, not less than 75% of the offer will be available for allocation to Qualified Institutional Buyers (QIBs), subject to the applicable SEBI ICDR Regulations.

The company, in consultation with the Book Running Lead Managers, may allocate up to 60% of the QIB Portion to Anchor Investors on a discretionary basis in accordance with applicable regulations.

Of the Anchor Investor Portion, 40% will be reserved for allocation in the specified manner, including 33.33% for domestic mutual funds and 6.67% for life insurance companies and pension funds, subject to the applicable provisions.

Further, not more than 15% of the offer will be available for allocation to Non-Institutional Bidders, while not more than 10% will be available for Retail Individual Bidders, subject to valid bids being received at or above the Offer Price.

Bidding and application process

Potential bidders, other than Anchor Investors, are required to participate through the Application Supported by Blocked Amount (ASBA) process. UPI bidders are required to provide their UPI ID, as applicable, and the corresponding bid amount will be blocked through the relevant mechanism.

Anchor Investors are not permitted to participate through the ASBA process.

The offer is being made through the Book Building Process in accordance with the applicable provisions of the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations and the Securities Contracts (Regulation) Rules.

Book Running Lead Managers

IIFL Capital Services Limited (formerly known as IIFL Securities Limited), CLSA India Private Limited and Systematix Corporate Services Limited are the Book Running Lead Managers to the offer.
